Environmental, Social & Governance Policy of THINK Gas

This Policy applies to all investments considered by Management in existing/new companies or projects. In instances where THINK Gas has limited control or ability to influence consideration of ESG issues (for example due to status of a minority stakeholder), reasonable efforts will be made to encourage such portfolio companies to consider relevant ESG related principles in their operations.

Policy Guidelines :
While making/considering any investment with respect to acquisitions to be undertaken or transfer of Company’s existing assets, the Management is required to adhere to the following guidelines:
1. General Guidelines :
a) The project under consideration should be physically located in India.
b) The bidding /award process for the project should not be subject to a legal challenge and should not pose material legal risk going forward.
c) Project should be operational.
d) In case there is a minority partner in the project such minority shareholder(s) must not pose a reputational risk to the Company or its shareholders.
e) The project should be, or expected to be, compliant with all statutory requirements.
f) Legal due diligence has been conducted in accordance with a model Terms of Reference (TOR) agreed by the Board.

2. Environmental Social and Governance (ESG) Guidelines :
Environmental, public health, safety, social and governance issues associated with target companies/projects will be considered at the pre-investment stage as well as during the period of ownership. In this endeavor, THINK Gas shall ensure that:
a) Each of its Subsidiaries shall use all reasonable efforts to ensure the implementation and continuing operation of the Social and Environmental (S&E) Management System to identify, assess and manage the social and environmental performance of the Company Operations in compliance with the S&E Requirements.

b) Environmental Social and Governance Due Diligence (ESGDD) has been conducted in accordance with a model TOR agreed by the Board and only by a firm selected from a panel agreed by the Board. Based on such assessment, if material ESG issues are identified, they may be included in discussions with the target’s management. Adequate measures or corrective plans as determined by the Company will be developed to rectify the identified issues and promote ethically responsible investing.

Governance And Review :
** THINK Gas has an ESG Committee which is responsible for coordinating our internal and external efforts in this area.
The Committee comprise the following professionals:
1. Name and Designation;
2. Name and Designation; and
3. Name and Designation.

** The ESG committee will review our continued adherence to these principles on an annual basis through evaluating activities we have undertaken in each year and identifying ways in which we can enhance our ESG risk management.
